Breefly Terms of Service

1. Introduction

Welcome to Breefly ("Breefly," "we," "us," or "our"). These Terms of Service ("Terms" or "Agreement") govern your access to and use of Breefly's platform, websites, applications, products, and services (collectively, the "Service").

By using the Service, you agree to be legally bound by these Terms. If you do not agree, do not use the Service.

1.1 Relationship to Privacy Policy

Your use of Breefly's Services is also governed by our Privacy Policy.

By using the Service, you acknowledge that you have read, understood, and agree to both these Terms of Service and our Privacy Policy.

If you do not agree to either document, you must not use the Service.

2. Service Description

Breefly provides tools that transform long-form video and audio into shorter, summarized versions ("Breefs"). Features include:

  • Uploading or linking video/audio content
  • Custom AI-powered transcription, summarization, and editing
  • Creating condensed highlight reels or transcripts
  • Organizing content in collections ("Breefcases")

3. Eligibility

  • Minimum age: 13 years old (or as required by local law).
  • If under 18, you must have parental or guardian consent.
  • Business use: If registering on behalf of an organization, you confirm you have authority to bind the entity.

4. User Content Responsibilities

4.1 Ownership and Rights

By submitting content, you represent and warrant that:

  • You own all necessary rights (copyright, publicity, likeness, etc.), OR
  • You are using the content solely for personal, non-commercial purposes.

You may not:

  • Publicly distribute processed versions of content you don't own.
  • Use Breefly to monetize or commercialize copyrighted content without rights.
  • Circumvent third-party platform terms (e.g., YouTube, Twitch) — you assume all legal risk.

4.2 Prohibited Content

Do not upload:

  • Unauthorized copyrighted works (unless for private study/personal use).
  • Illegal, harmful, or infringing content.
  • Content depicting minors without proper authorization.

5. Licenses

5.1 License You Grant Breefly

You grant Breefly a limited, non-exclusive, worldwide license to:

  • Process and transform your content to provide the Service.
  • Store, copy, and analyze your content for technical delivery.
  • Use anonymized data for product improvement.

This license ends when you delete content, except for:

  • Backup copies (retained up to 90 days).
  • Aggregated analytics (retained indefinitely).

5.2 Ownership

  • You retain ownership of submitted content.
  • Breefly does not claim ownership over your content.

6. Restrictions

You agree not to:

  • Redistribute processed videos without owning all rights.
  • Use automated bots/scrapers against the Service.
  • Reverse-engineer or exploit the Service.
  • Resell Breefly output as your own competing product.

9. Publicity Rights & AI Restrictions

  • Do not use Breefly to process another person's name, image, or voice without authorization.
  • Do not create misleading or deepfake content.
  • AI-generated content remains your responsibility — you must comply with applicable rights.

10. Content Removal

We may remove or disable access to content if:

  • It violates these Terms.
  • It is subject to legal or platform complaints.
  • We believe it poses legal or safety risks.

Users may delete their content at any time; backups may persist up to 90 days.

11. Indemnification

You agree to indemnify, defend, and hold harmless Breefly and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and costs arising out of:

  • Your content
  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights (e.g., YouTube ToS, copyright, publicity rights)

12. Disclaimers

The Service is provided "as is" and "as available."

We do not guarantee:

  • That the Service is error-free or uninterrupted.
  • That processed results are accurate.
  • That use complies with third-party platforms (e.g., YouTube).
  • That you have rights to distribute processed content.

13. Limitation of Liability

To the fullest extent allowed by law:

  • Breefly is not liable for indirect, consequential, or punitive damages.
  • Our total liability is capped at $100 USD or the amount you paid in the last 12 months, whichever is greater.

14. Third-Party Services

  • Breefly may integrate with YouTube, Google Drive, or other services.
  • You are responsible for complying with those platforms' terms.
  • Breefly is not liable for third-party actions or restrictions.

15. Termination

We may suspend or terminate your account if:

  • You violate these Terms.
  • Required by law or third-party complaint.
  • Your account is inactive for extended periods.

16. Dispute Resolution

  • Governing law: California.
  • Binding arbitration under JAMS, unless small claims court applies.
  • Class action waiver: Disputes resolved individually, not as a class.
  • Claims must be filed within one year.

17. Changes to Terms

We may update these Terms periodically. Updates will be communicated via:

  • Posting on the Service
  • Email to registered users

Continued use after changes = acceptance.

18. General

  • These Terms are the entire agreement.
  • If one provision is invalid, the rest remain effective.
  • You cannot assign these Terms without consent.
  • Breefly may assign freely.
